The following terms and conditions relate to all work booked with Leornian Consulting by the Client unless other arrangements are mutually agreed in writing.

1.  Period

They will remain in force from the date of the first booking until cancelled, in writing.

2.  Fees

The fees cover work for the Client whether carried out on their premises or elsewhere, as specified separately. All fees and expenses will be subject to VAT if applicable.

3.  Expenses

The following expenses may be billed in addition to the fees specified above:-

a)            Travel expenses

b)            Hotel accommodation

c)            Overseas travel time (charged as a half day fee each way @ £200 per hour)

d)            Printing and materials reproduction

e)            Hire of equipment

f)             Other expenses necessarily incurred, e.g. courier or postage for course materials

4.  Payment Terms

Invoices will be submitted on completion of the specified work (or in stages, if agreed). Payment will be due within 30 days from the date of invoice. We understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to agreed credit terms.

5. Cancellations

If, for any reason, you have to cancel an agreed booking, this should be notified to Leornian Consulting in writing, and the following fees will apply:-

  • If you give us less than 4 weeks notice of cancellation before the first day of an event, we will charge you 100% of the agreed delivery and design fee.
  • If you give us between 8 weeks and 4 weeks notice of cancellation before the first day of an event, we will charge you 50% of the agreed delivery fee and 100% of all design work completed to date.
  • If you give us more than 8 weeks notice of cancellation before the first day of an event, no fee is chargeable.


6.  Force Majeure

Leornian Consulting will use its best endeavours to carry out the contract as agreed but shall not be liable for the loss (whether direct or consequential) suffered by the Client, in the event of Leornian Consulting being unable to complete the work in whole or in part due to matters beyond its reasonable control, which expression shall include (but shall not be confined to) illness, strikes, lock-outs or other labour disputes, shortage of materials, accident or breakdown of motor vehicles or other forms of transport, errors made by hotel staff or similar in making booking arrangements, other delays in travel, riot, civil unrest or war.

7. Variation

Any variations must be agreed and confirmed in writing in advance of the delivery date.

8. Confidentiality

Leornian Consulting shall not disclose, publish or authorise others to publish any reports or information pertaining to our contract with the Client, without the prior written approval of the Client.

9. Copyright

Leornian Consulting retains the copyright in any reports or manuals or other materials that we might supply, unless a specific agreement is made in writing to assign any rights to the Client.

10. Replacement Consultants

Where a specific consultant is scheduled to run a course and is unable to fulfil this commitment, Leornian Consulting will make every effort to replace him/her with another experienced Leornian Consulting consultant subject to the agreement of the Client. Where consultants cannot be replaced there will be no charge for the days involved.
